Terms of Service

These Terms govern your use of IdeaLens, an AI-powered startup-idea validation tool operated by Jaxel ("we", "us", "Jaxel"). By using IdeaLens you agree to these Terms. If you do not agree, do not use the service.

IdeaLens generates analysis of startup ideas based on the answers you provide. The output combines deterministic heuristics with output from third-party large language models. We do not represent that the analysis is exhaustive, accurate for your specific situation, or appropriate for any particular use.

IdeaLens output is for informational purposes only. It is not investment advice, business advice, legal advice, or a recommendation to take or refrain from any action. You are solely responsible for any decisions you make based on the output.

• You agree not to submit content you do not have the right to submit.
• You agree not to submit unlawful, infringing, defamatory, or harmful content.
• You agree not to use IdeaLens to scrape, retrain, or rebuild a competing service.
• You agree not to attempt to access the admin panel or any non-public area without authorization.
• We may rate-limit, suspend, or terminate access without notice for any of the above.

The VC submission track is opt-in only and unlocks at our sole discretion based on the IdeaLens score and other signals. By opting in, you authorize Jaxel to review your submission and, subject to a Mutual NDA between you and Jaxel and an active partnership agreement between Jaxel and a given VC partner, to forward your submission to that partner. Jaxel may decline to forward any submission for any reason.

You retain all rights to the content you submit. You grant Jaxel a non-exclusive, worldwide, royalty-free license to process and store your content solely to provide the service to you and, if you have opted in, to forward it to VC partners as described above.

The IdeaLens product, scoring methodology, prompts, and dashboard design are owned by Jaxel and are protected by intellectual property law.

The service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by law, Jaxel will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the service. Our total liability for any claim arising out of or related to the service is limited to the greater of (a) one hundred US dollars ($100) and (b) the amounts you paid Jaxel for the service in the twelve months preceding the claim.

You agree to indemnify and hold harmless Jaxel from any claims, damages, and expenses (including reasonable attorneys' fees) arising from your violation of these Terms or your use of the service.

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. The exclusive venue for any dispute is the state and federal courts located in Wilmington, Delaware.

We may update these Terms at any time. Material changes will be communicated by updating the effective date and, where appropriate, by email. Your continued use of the service after changes take effect constitutes acceptance.
